BioStars Terms and Conditions

BioStars is a biotech business plan competition created and administered by Panacea Innovation Ltd (previously known as Oxford Biotech Ltd), a company registered in England and Wales with company number 09378046, whose registered office is at 7200 The Quorum, Oxford Business Park North, Garsington, Oxford OX4 2JZ (“we” or “us”).

By registering for BioStars, you are agreeing to be bound by these terms and conditions. In particular, we draw your attention to the section below headed “Our Liability”.

Details of how to enter BioStars are available on our website at (the “Website”).

The BioStars competition is open to all post-graduate and MBA students, academics, industry professionals and other aspiring entrepreneurs aged 18 years or over, provided that at least one member of each entrant team must be under the age of 36 as at the deadline for application.

In order to claim the prize, we may require you and your team to form a limited company or other corporate vehicle to whom that prize may be awarded, in order to ensure that the prize is applied appropriately. The winning team may be advised on incorporation by mentors participating in the competition. Because we may require you to form a corporate entity, the competition is not open to any individual who has previously been disqualified by any regulatory body from being a company director under the laws of any territory. Foreign nationals may enter the competition but must ensure that at least one team member is legally eligible to act as a company director in the UK.

All entrants must be entitled to use any intellectual property they contribute to and create for and during the BioStars competition for the purposes of the competition and for the purposes described in their business plan. We recommend that entrants consult with their academic and research institutes before applying for BioStars to ensure that they are able to contribute and use any relevant intellectual property.

By entering the BioStars competition, you confirm that you are eligible to do so and eligible to claim the prize. We may require you to provide proof that you are eligible to enter the competition. We reserve all rights to disqualify you if your conduct is contrary to the spirit or intention of the competition.

The competition entries will be judged by a panel of judges based on criteria which will be communicated to you in the course of the competition.

A list of names of the judges can be viewed here and will be available for at least one month after the Grand Finale.

The decisions of the panel of judges will be final.  The finalists will be notified by email in November.

The winner and runner-up will be announced at the Grand Finale in March and the details of the winner, runner-up and other finalists will be available on our Website for at least one month after the Grand Finale.

During the course of the competition mentors may be made available to competing teams. Each mentor and team will be asked to enter into a non-disclosure agreement to ensure that obligations of confidentiality are in place regarding the teams’ confidential information. However, each team is responsible for ensuring that it does not disclose any confidential information to any mentor (or any other person) other than under obligations of confidentiality.

You agree that we will not be liable for any loss or damage arising from the conduct of any mentor during the course of or in connection with the competition.

The prize is intended to enable to winner to turn the scientific ideas developed during the competition into marketable products. The winner will therefore only be eligible to receive the prize if:

·       the winner (whether an individual or a team) incorporates a limited company or other suitable corporate vehicle to receive the prize; and

·       the winner enters into an additional agreement (on such terms as may be agreed) to ensure that the prize is applied to the further research, development and/or marketing of the winner’s products and/or services in a suitable manner (which may without limitation include adherence to an approved business plan).

We reserve the right not to award part/entire prize at our own discretion or if the winner refuses it or is unable to meet the conditions detailed above.  The prize will be awarded within a reasonable time following the winner’s compliance with the conditions above.

The winner’s prize may comprise the following elements:

·       thirty thousand pounds sterling (£30,000) funding which must be used as described above;

·       the use of facilitated lab and office (subject to suitability and availability);

·       access to mentors and ongoing support in relation to scientific, business development, legal and investment concerns (subject to suitability and availability);
